Terms and Conditions

By engaging DigitalTech for any services, you agree to these Terms and Conditions. These terms apply to all proposals, agreements, and services we provide unless a separate written agreement states otherwise. We may update these terms at any time — continued engagement constitutes acceptance of the current version.
DigitalTech provides product development, quality assurance, UI/UX design, team extension, and consulting services. The scope, deliverables, timelines, and fees for each engagement are defined in a mutually agreed project agreement or statement of work. Changes to the agreed scope must be documented in writing and may affect timelines and costs.
All intellectual property created during a project is assigned to the client upon full payment of outstanding invoices, unless otherwise agreed in writing. DigitalTech retains the right to use general knowledge, skills, and experience gained during the engagement, including pre-existing tools, frameworks, and methodologies. Both parties agree to respect each other’s existing intellectual property rights.
Both parties agree to keep all proprietary and sensitive information confidential — including business strategies, technical specifications, user data, and financial details. Confidentiality obligations survive termination and remain in effect for two (2) years after the engagement concludes.
Payment terms are specified in each project agreement. Unless stated otherwise, invoices are due within thirty (30) days of issuance. Late payments may incur interest at 1.5% per month on the outstanding balance. DigitalTech reserves the right to suspend services if payments are significantly overdue.
To the maximum extent permitted by law, DigitalTech is not liable for indirect, incidental, special, consequential, or punitive damages arising from the services provided. Total liability for any claim under these terms shall not exceed the fees paid for the specific engagement giving rise to the claim.
Either party may terminate an engagement with thirty (30) days’ written notice. Upon termination, the client pays for all completed work and incurred expenses up to the effective date. DigitalTech will deliver all completed work and assist with a reasonable transition.
These Terms and Conditions are governed by the laws of the jurisdiction in which DigitalTech operates. Disputes shall be resolved through good-faith negotiation and, if necessary, binding arbitration in the applicable jurisdiction.
